Do you have the Net 4 client and VSTOR?
The official steps from Microsoft are:
1. Install .NET Framework 4.0 and Visual Studio 2010 Tools for Office Runtime.
2. If you are running Windows Vista or Windows Server 2008, install the platform update.
3. Install Microsoft® Office 2010.
4. Install PowerPivot for Microsoft Excel
To my recollection, you have to do all of those. I know that you can go in the order 3, 1, 2, 4, but I'm not sure if you'll need to uninstall PowerPivot first before you install the first components. May be safer to just do that.
